Both SARFAESI and the IBC are insolvency-adjacent laws, but they solve different problems. The difference between SARFAESI and IBC matters because the wrong choice of forum can cost months and leverage.

When SARFAESI is the live law

For most individuals, MSMEs and mid-market borrowers, SARFAESI is the law you actually face. The lender has security, the loan is NPA, and the bank wants either money or the asset. When IBC enters the picture

IBC enters when:

  • The borrower is a corporate debtor (company or LLP).
  • The default exceeds 1 crore rupees.
  • A creditor decides that resolution (a new buyer or plan) or liquidation is more useful than recovery.

Once IBC is admitted, SARFAESI freezes under the moratorium of Section 14 of IBC. That is often used tactically by borrowers and creditors alike.

How to choose

  • If you are an individual or partnership firm — SARFAESI applies; IBC personal insolvency is still nascent.
  • If you are a viable company facing recovery — SARFAESI defence with parallel OTS or restructuring is usually faster than triggering IBC.
  • If your company is non-viable and asset sales are the only path — a Section 10 (debtor-initiated) IBC filing can give certainty.

FAQs

Can a borrower file IBC against themselves under SARFAESI proceedings?

Yes. A corporate debtor can file under Section 10 of IBC even while a SARFAESI action is live. Admission triggers an automatic moratorium on SARFAESI.

Does an OTS bind a bank under SARFAESI?

Only once sanctioned and signed. Until then, SARFAESI enforcement can continue in parallel.
