Bank of Baroda to ARC: Assignment, Settlement & Borrower Rights

When Bank of Baroda sells your NPA loan to an Asset Reconstruction Company (ARC) under Section 5 of the SARFAESI Act, the ARC steps into Bank of Baroda's shoes as the secured creditor. In our experience with 400+ ARC-assigned files, settlement discounts often deepen from the Bank of Baroda committee's 55–80% band to 40–65% of principal — because the ARC has typically acquired the loan at 15–25 paise on the rupee and has faster internal sanctioning. This guide is the practical playbook for borrowers whose Bank of Baroda account has moved (or is about to move) to an ARC.

How $Bank of Baroda decides to assign to an ARC

Bank of Baroda usually assigns loans that have aged past 24 months as NPA, where SARFAESI enforcement has stalled or where the loan sits in the Doubtful-2 / Loss category. Assignment happens through a Swiss Challenge auction or bilateral sale. The borrower is not a party to this transaction and cannot block it.

What changes for the borrower on Day 1

The ARC issues an Assignment Notice under Section 5(2) of SARFAESI. From that date, all future notices, SARFAESI actions, DRT proceedings and OTS negotiations happen with the ARC — not with Bank of Baroda. Any prior 13(2) or 13(4) notices from Bank of Baroda continue to be valid and enforceable by the ARC without re-issuance.

Why ARC settlements typically close deeper than bank settlements

The ARC's acquisition cost (typically 15–25 paise on the rupee) sets the floor. Anything above that is profit. Combined with a leaner sanctioning matrix — most ARCs sanction at Trust / Committee level within 15–30 days versus Bank of Baroda's 60–120 days — this structurally allows deeper discounts.

Common ARCs holding $Bank of Baroda portfolios

Bank of Baroda typically sells to ARCIL, Edelweiss ARC, Phoenix ARC, JM Financial ARC, Reliance ARC and CFM ARC. Each has its own settlement culture — ARCIL tends toward structured 3-tranche settlements, Edelweiss often insists on upfront 50%, Phoenix is more flexible on tenor.

Negotiation playbook with ARCs

1. Ask for the Assignment Deed date and consideration paid (via RTI where refused). 2. Anchor your offer at 1.4–1.8× the ARC's likely acquisition cost. 3. Demand written communication only. 4. Insist on a Sanction Letter on ARC letterhead with NOC + security release + CIBIL update clauses spelled out. 5. Escalate to the ARC's Independent Director / Grievance cell if the Recovery Officer stalls.

Documentation & procedural checklist

Assignment notice, Section 13(2)/13(4) history, latest statement from the ARC, security valuation, source-of-funds plan, hardship narrative, prior offers from {bank}. Cross-verify that the ARC has filed the assignment with CERSAI — missing CERSAI filing is a strong DRT defence ground.

When to fight instead of settle

Assignment done during a valid restructuring, defective 13(2) service by Bank of Baroda before assignment, mismatched loan quantum in the Assignment Deed, or ARC recovery agents operating without valid authorisation — each of these is a viable DRT-SA ground under Section 17.

Bank of Baroda ARC Assignment & Recovery: field-tested playbook

This section captures the practical, BoB-specific rules we apply to every arc assignment & recovery engagement — the committee layer that will actually sanction, the discount band Bank of Baroda typically clears in the current cycle, and the parallel SARFAESI / DRT posture that protects the borrower while negotiation runs. It is written for borrowers who want to understand exactly what will happen before they engage counsel.

Why arc assignment & recovery at Bank of Baroda moves faster with a specialist

Every lender publishes an internal OTS / recovery policy and revises the sanctioning matrix each financial year. Bank of Baroda reviews the age of NPA, security cover, projected realisable value through SARFAESI enforcement and the borrower's demonstrated repayment capacity. A proposal that reads like a routine hardship letter rarely clears. A proposal that cites BoB's own realisable-value math — after reservation price, auction discount and time-value — is the one that reaches sanction. See our One Time Settlement pillar and Loan Settlement hub for the underlying framework.
